CIFI Holdings to Mandatorily Convert USD62.35 Million of Bonds After 40% Threshold Not Met

CIFI Holdings (Group) Co. Ltd. has confirmed a second periodic mandatory conversion of its zero-coupon, secured, guaranteed mandatory convertible bonds (MCBs) after the cumulative amount voluntarily converted by investors remained below the 40% threshold set in the trust deed.

Key details • Initial issuance: USD4.08 billion in MCBs was placed on 29 December 2025 as part of the company’s restructuring scheme. • Conversion benchmark: The deed stipulates that if less than 40% (USD1.63 billion) of the bonds have been converted by 30 June 2026, the company must force-convert a portion of the outstanding MCBs. • Actual conversions to date: USD1.57 billion (38.47% of the issue) had been converted by the record date of 30 June 2026, leaving the total below the required threshold. • Mandatory conversion size: USD62.35 million—equivalent to 1.53% of the original issue—will be automatically converted, bringing cumulative conversions to exactly 40.00%. • Effective date: The mandatory conversion is scheduled for 10 July 2026. • Conversion price: Shares will be issued at the prevailing ordinary conversion price of HKD1.60 per share. • Trading restriction: From 29 June 2026 until the new shares are registered, bondholders cannot request voluntary conversion or transfer of the affected bonds.

CIFI Holdings advises shareholders and potential investors to exercise caution when dealing in the company’s securities. The board is chaired by Mr. Lin Zhong, with a total of nine directors, including five executive directors, one non-executive director and three independent non-executive directors.
