Yum China Cuts Outstanding Shares to 344.17 Million After U.S. Cancellation; 0.66 Million Shares Still Pending

Yum China Holdings, Inc. (Yum China) reported that it cancelled 67,571 ordinary shares on 17 July 2026, stemming from a U.S. repurchase executed on 16 July at USD 44.40 per share. The cancellation reduced the company’s outstanding share count by 0.02% to 344.17 million shares.

In addition, 657,381 shares (0.19% of current outstanding shares) bought between 11 June and 17 July 2026—principally through the Hong Kong Stock Exchange and the New York Stock Exchange—remain in treasury awaiting cancellation. Once removed, Yum China’s issued share capital would fall to approximately 343.51 million shares.

Key transactions on 17 July 2026: • Hong Kong: 22,550 shares repurchased on-market at HKD 345.80–353.20, for a total consideration of HKD 7.85 million. • New York (NYSE): 74,931 shares repurchased at USD 43.69–44.49, costing USD 3.30 million.

Repurchases form part of the mandate approved on 28 May 2026, which authorises buybacks of up to 34.66 million shares. To date, 3.30 million shares have been repurchased under this mandate, equivalent to 0.95% of the share count on the mandate date, leaving capacity for a further 31.36 million shares.

All transactions complied with Hong Kong Stock Exchange and relevant overseas regulations, and no treasury shares were held post-repurchase.
