Maoye International (00848) announced that its indirect wholly-owned subsidiary, Baotou Maoye Urban Commercial Management Co. (formerly known as Baotou Maoye Dongzheng Real Estate Development Co.), sold a total of 25.1135 million shares of Maoye Commercial (600828) in the open market on November 28 and December 1, 2025. The shares sold represent approximately 1.45% of Maoye Commercial's issued share capital as of the announcement date, with a total consideration of approximately RMB161 million (excluding transaction costs). The average selling price per share was approximately RMB6.40.

Following the sale, the company's consolidated stake in Maoye Commercial will decrease from 86.45% to 85%. The board believes the divestment will help optimize the company's financial structure. Since Maoye Commercial is a consolidated subsidiary, the transaction will not impact the group's current consolidated profit and loss. The proceeds from the sale will be used to repay borrowings and supplement working capital.
