JY Grandmark Holdings Limited announced that, after trading hours on 14 April 2026, its indirect wholly owned subsidiary Guangzhou Yinong Enterprise Co., Ltd. signed an equity transfer agreement to dispose of 100% of Guangzhou Zhuodu Property Management Co., Ltd. to Guangzhou Yimei Property Management Co., Ltd. for RMB0.65 million in cash. Completion took place immediately upon signing, and the purchaser assumed all shareholder rights and risks from that date. All liabilities of the target group remain with the target, while amounts owed to the vendor and its associates must be settled within one month.

The target group—established in 2014 and focused on property management—recorded revenue of RMB36.19 million and net profit after tax of RMB0.20 million in FY 2025, reversing a net loss of RMB0.63 million in FY 2024. Net liabilities stood at RMB6.56 million at 31 December 2025 and RMB6.38 million at 28 February 2026.

Following completion, the target group will be de-consolidated. Based on the consideration versus the 28 February 2026 carrying net liabilities, JY Grandmark expects to recognise an estimated gain of RMB7.03 million and receive net proceeds of RMB0.65 million, earmarked for general working capital.

Management cited cash preservation, strategic focus on core property development, and the removal of loss-making assets and credit-risk receivables as key drivers for the transaction. The board views the terms as fair and reasonable.

Under Hong Kong Listing Rules, the disposal is classified as a discloseable transaction, with applicable percentage ratios exceeding 5% but below 25%; hence it requires announcement but no shareholder approval or circular.
