Beijing Enterprises Urban Resources Group Limited (the “Company”) has signed an investment cooperation framework agreement with Shenzhen 1024 Robotics Technology Co., Ltd. and its founder Dr. He Zhijian to establish a joint venture in mainland China dedicated to the research, development and manufacturing of outdoor cleaning robots.

Under the agreement dated 23 June 2026, the Company will take a 66.7% interest in the new entity, while 1024 Robotics will hold the remaining 33.3%. Capital contributions will be made in proportion to these shareholdings, and the joint venture will become a non-wholly-owned subsidiary, with its financials fully consolidated into the Group’s results.

Management expects the partnership to accelerate large-scale production of competitive outdoor cleaning robot products and position the segment as a core business alongside the Group’s existing operations in urban services, hazardous-waste treatment, and waste electrical and electronic equipment recycling.

The framework agreement will become effective upon clearance from the State-owned Assets Supervision and Administration Commission of the State Council (or its authorised body). Given that all applicable percentage ratios under the Hong Kong Listing Rules are below 5%, the transaction is exempt from mandatory reporting and announcement requirements; the disclosure was therefore made on a voluntary basis.

Shenzhen 1024 Robotics brings proprietary technology across unmanned logistics and cleaning, while Dr. He—who holds a PhD from The Hong Kong Polytechnic University and has prior research and industry experience in autonomous driving—will contribute deep domain expertise.
