Koh Brothers Group AGM Clears All Resolutions, Declares 0.90-cent FY2025 Dividends

Koh Brothers Group Limited reported that shareholders approved every one of the nine resolutions tabled at its Annual General Meeting held on Apr, 29 2026.

The meeting passed the directors’ statement, audited financial statements and auditor’s report for the financial year ended Dec, 31 2025, with a 99.99% majority (239.5 million votes for, 21,000 against).

Investors backed a special dividend of 0.60 Singapore cent and a final dividend of 0.30 Singapore cent per share for FY2025, supported by 99.98% of votes cast.

Shareholders re-elected directors Koh Teak Huat, Quek Chee Nee and Sharon Tay Lee Teng, with support ranging from 98.68% to 99.57% of votes. They also approved total directors’ fees of 0.45 million Singapore dollars for FY2025 (99.51% in favour) and re-appointed PricewaterhouseCoopers LLP as external auditor (99.78% in favour).

Special business resolutions saw investors grant the board authority to issue new shares and convertible instruments (96.97% approval) and renew the share purchase mandate (97.98% approval).

Long-serving director Ow Yong Thian Soo retired at the close of the meeting after more than nine years on the board.

The AGM was conducted by poll, with Complete Corporate Services acting as polling agent and Moore Stephens LLP as scrutineer.
