Alibaba Group (BABA) Sets 22 Sept 2026 Virtual AGM; Seeks 10% Share Issuance & Buy-Back Mandates, Board Elections and PwC Reappointment

Alibaba Group Holding Limited will convene its 2026 Annual General Meeting (AGM) on 22 September 2026 at 20:00 Hong Kong time (08:00 New York time). The meeting will be conducted entirely online, with separate virtual sessions for holders of ordinary shares and American depositary shares (ADSs).

Key items to be put to vote:

1. Capital management • Share Issuance Mandate: authorisation for the Board to issue, allot or otherwise deal with additional ordinary shares representing up to 10% of the company’s issued share capital (excluding treasury shares) until the 2027 AGM. • Share Repurchase Mandate: authorisation for the Board to repurchase up to 10% of the company’s issued ordinary shares (excluding treasury shares) over the same period.

2. Board composition • Election of Maggie Wei Wu, Kabir Misra and Weijian Shan as directors, each to serve until the 2029 AGM.

3. Auditors • Re-appointment of PricewaterhouseCoopers Zhong Tian LLP (U.S.) and PricewaterhouseCoopers (Hong Kong) as independent registered public accounting firms until the next AGM.

Key participation details:

• Record dates: 5 August 2026 (close of business) for both ordinary shareholders (Hong Kong time) and ADS holders (New York time). • Voting deadlines: – Ordinary shareholders (direct registration): proxy forms due by 20:00 Hong Kong time on 20 September 2026. – ADS holders: voting instructions to Citibank, N.A. due by 10:00 New York time on 16 September 2026. • Quorum: one or more shareholders representing at least one-third of voting power. • Each ordinary share carries one vote; each ADS represents eight ordinary shares. • Ordinary shareholders will access the meeting via the Computershare online platform; ADS holders will join through a separate virtual portal. ADS holders cannot vote during the meeting and must instruct the depositary in advance.

The company reiterates that, due to its partnership director-nomination mechanism, it is deemed to have a weighted voting rights (WVR) structure under Hong Kong Listing Rules.
