Huabao International Holdings Limited (the Company) issued a notice on 10 November 2025 regarding a special general meeting (SGM) to be held on 28 November 2025 at Room 3-4, United Conference Centre, 10/F., United Centre, 95 Queensway, Admiralty, Hong Kong. The meeting is scheduled to start at 10:00 a.m., subject to weather conditions that may trigger postponement according to the guidelines mentioned in the notice.

The principal agenda is to consider and, if deemed appropriate, pass an ordinary resolution relating to the adoption of rules for a proposed share incentive scheme of Huabao Flavours & Fragrances Co., Ltd. The Company’s directors have been authorized to execute relevant documents and procedures needed to implement the scheme.

The register of members will be closed from 25 November 2025 to 28 November 2025 (both days inclusive) for the purpose of determining entitlement to attend and vote at the meeting. Only shareholders recorded in the register on 28 November 2025 are eligible to vote. The resolution will be decided by poll, and a proxy form must be submitted in advance according to the instructions provided in the notice. If adverse weather signals—such as a 「black」 rainstorm warning or tropical cyclone warning signal number 8—are in force at or after 8:00 a.m. on 28 November 2025, the SGM will be postponed to the next Business Day with suitable conditions.
