China Cultural Tourism and Agriculture Group Limited (CN Cultural Tourism & Agriculture) has issued a notice convening its Annual General Meeting (AGM) for 11:00 a.m. on 2 June 2026 at the company’s conference room in Zhongshan City, Guangdong Province.
Key proposals to be tabled:
1. 2025 Financials • Shareholders will receive and consider the audited consolidated financial statements, directors’ report and independent auditor’s report for the year ended 31 December 2025.
2. Board Composition and Remuneration • Re-election of four directors: executive director Tam Ka Wai, non-executive director Wong Yuk Lun, Alan, and independent non-executive directors Chan Hoi Ling and Tsang Ho Pong. • Authorisation for the board to fix directors’ remuneration.
3. Auditor Re-appointment • Renewal of CCTH CPA Limited as external auditor for the ensuing year, with the board authorised to determine its fees.
4. Share Capital Mandates • General mandate allowing the board to allot and issue new shares or convertible securities up to 20% of the company’s issued share capital as at the AGM date. • Share buy-back mandate permitting on-market repurchases of up to 10% of issued shares during the mandate period. • Extension mandate enabling any shares repurchased under the buy-back authority to be added to the 20% issuance limit.
Logistics:
• Share register closure: 28 May 2026‒2 June 2026 (both days inclusive). Shareholders must lodge transfer documents with Tricor Investor Services Limited by 4:30 p.m. on 27 May 2026 to qualify for AGM attendance and voting. • Proxy forms must be deposited with Tricor at least 48 hours before the meeting.
As of the notice date, the board comprises Chairman Yang Lijun, executive director Tam Ka Wai, non-executive director Wong Yuk Lun, Alan, and independent non-executive directors Chan Hoi Ling, Tsui Wai Ting Rosalie and Tsang Ho Pong.
