Henan Jinyuan Hydrogenated Chemicals Co., Ltd. issued a circular dated 8 Jul 2026 calling an extraordinary general meeting (EGM) for 24 Jul 2026 at 10:00 a.m. in Hong Kong.

The agenda centres on four ordinary resolutions: 1) Re-election of all eight incumbent directors—executive directors Wang Zengguang and Qiao Erwei; non-executive directors Yiu Chiu Fai, Xu Fenglei and Wang Lijie; and independent non-executive directors Wong Yan Ki Angel, Di Zhigang and Leung Sin Yeng Winnie—for a new three-year term running from 29 Jul 2026 to 28 Jul 2029. 2) Re-election of shareholder-representative supervisors Wong Tsz Leung and Zhou Feng for the same term. 3) Approval of directors’ remuneration. Proposed annual fees are HKD0.25 million for Ms. Wong, HKD0.20 million for Ms. Leung and RMB0.12 million for Mr. Di; the other directors will not receive board fees, though any executive compensation for management roles will be set separately by the board. 4) Approval that supervisors will receive no remuneration for supervisory duties; those holding management posts may receive compensation determined by the board.

Shareholders on the H-share register as of 24 Jul 2026 are entitled to vote. Transfer documents must be lodged with Computershare Hong Kong Investor Services by 4:30 p.m. on 20 Jul 2026. Proxy forms are due at least 24 hours before the meeting.

No shareholder is required to abstain from voting on the proposed resolutions.
