Global Chinese Business Club outlines 28 Sep 2026 AGM agenda: financial statements, six director re-elections and new share mandates

Global Chinese Business Club (formerly Affluent Foundation Holdings Ltd.) has circulated the form of proxy for its 2026 Annual General Meeting, scheduled for 4:00 p.m. on Monday, 28 September 2026 at Unit 2101, Building 4, Tianan Yungu Industrial Park Phase II, Gangtou Community, Bantian Street, Longgang District, Shenzhen, PRC.

Key matters to be decided via ordinary resolutions include:

• Financial reporting: Shareholders will vote on receiving and adopting the audited consolidated financial statements and the reports of the directors and independent auditor for the year ended 31 March 2026.

• Board composition: Re-election of six directors is proposed—executive directors Mr Zhou Zhenlin, Ms Peng Yunying and Mr Guo Xianjiao, alongside independent non-executive directors Ms Cheng Shing Yan, Mr Tsoi Chi Hei and Ms Zhou Wencan. The board will also seek authority to determine directors’ remuneration.

• Auditor: Wilson & Partners CPA Ltd. is nominated for re-appointment as independent auditor, with the board authorised to set its remuneration.

• Capital mandates: 1. A general mandate empowering directors to issue new ordinary shares. 2. A separate mandate authorising the repurchase of shares. 3. An extension permitting the board to increase the share-issuance limit by the number of shares repurchased under the buy-back mandate.

Shareholders intending to vote by proxy must lodge completed forms with Tricor Investor Services Ltd. (17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong) no later than 4:00 p.m. on Saturday, 26 September 2026. Attendance in person remains permissible despite prior proxy submission, which will then be deemed revoked.
