Carlink Tech Sets 18 June 2026 AGM; Proposes 10% Buy-back and 20% Issuance Mandates, Director Re-elections

Carlink Tech (GL-Carlink Technology Holding Limited) has called its 2026 annual general meeting (AGM) for 18 June 2026 at 2:00 p.m., to be held on the 14th floor of Building 1, Chongwen Garden, Nanshan District, Shenzhen, Guangdong.

Key agenda items:

1. Financial Statements • Shareholders will vote on adoption of the audited consolidated financial statements, the directors’ report and the independent auditor’s report for the year ended 31 December 2025.

2. Board Composition and Remuneration • Independent non-executive directors Ms Wei Chunlan, Ms Ci Ying and Mr Feng Yuan are nominated for re-election. • The board seeks authority to determine directors’ remuneration.

3. Auditor Re-appointment • Deloitte Touche Tohmatsu is proposed for re-appointment as external auditor, with remuneration to be set by the board.

4. Share Repurchase Mandate • Directors are seeking authority to repurchase up to 10% of the company’s issued shares (excluding treasury shares) during the period from the AGM until the next AGM, expiry of the statutory period for holding the next AGM, or revocation by shareholders—whichever occurs first.

5. General Issuance Mandate • A separate mandate would allow the board to allot, issue or deal with new shares up to 20% of issued share capital (excluding treasury shares), subject to a maximum 10% discount to the average closing price over the five trading days preceding the relevant announcement or agreement. • The mandate covers the grant of options, warrants or other convertible securities and remains effective for the same “Relevant Period” as the repurchase mandate.

6. Extension of Issuance Capacity • Conditional on the repurchase mandate’s approval, the company seeks to extend the 20% issuance limit by the amount of shares actually repurchased, effectively raising potential issuance headroom by up to an additional 10% of issued capital.

Administrative Details • Shareholders recorded on the register by 4:30 p.m. on 12 June 2026 will be eligible to attend and vote; the register closes from 15 June to 18 June 2026 (both days inclusive). • All resolutions will be decided by poll, and results will be published on the Hong Kong Stock Exchange and company websites. • Shareholders may appoint proxies; completed proxy forms must reach Boardroom Share Registrars (HK) Limited no later than 48 hours before the meeting.
