C.banner International Holdings Limited (1028) announced that effective 12 November 2025, one non-executive director resigned and two non-executive directors have been appointed. The changes include the resignation of Ms. Cheng Xuanxuan as a non-executive director due to her desire to focus on other business endeavors. Along with her resignation, she has also ceased to serve as a member of the Nomination Committee.

Concurrently, the company appointed two new non-executive directors, namely Ms. Fan Yuanyuan and Ms. Zhang Yichen. Both will serve three-year terms and receive monthly fees of HK$66,000. Ms. Fan has extensive private equity and management consulting experience, including prior roles at SenseTime Group Inc. (0020) and various asset management firms. Ms. Zhang brings strategic insight from her involvement in artificial intelligence initiatives and consumer-related ventures, having led key projects in equity investments and industry collaboration.

Additionally, Ms. Fan has been named as a member of the Nomination Committee, succeeding Ms. Cheng. The company acknowledged Ms. Cheng’s contributions and confirmed there were no outstanding disagreements or issues related to her departure.
