3SBio Inc. has scheduled an Extraordinary General Meeting (EGM) for 23 April 2026 at 10:00 a.m., to be held at the company’s headquarters in Shenyang, People’s Republic of China.

The sole ordinary resolution seeks shareholder approval for a conditional special dividend to be paid out of the share premium account by way of an in-specie distribution of all Mandi Inc. shares currently held by 3SBio. The distribution will be made to “Qualifying Shareholders” as defined in the circular dated 1 April 2026 and is directly linked to the company’s proposed spin-off of Mandi Inc.

If approved, the Board will be authorised to determine the exact number of Mandi shares to be distributed, set the record date, and finalise all administrative arrangements required to execute the distribution, including any amendments deemed necessary to comply with legal and regulatory requirements.

Key timetable details: • Share transfer books close from 20 April 2026 to 23 April 2026 (both days inclusive). • To qualify for attendance and voting, share transfer documents must be lodged by 4:30 p.m. on 17 April 2026 with the Hong Kong share registrar, Computershare Hong Kong Investor Services Limited. • Forms of proxy must be deposited at the registrar no later than 48 hours before the EGM. • Voting on the resolution will be conducted by poll in accordance with Hong Kong Listing Rules.

The Board currently comprises Executive Directors Dr. Lou Jing (Chairman) and Ms. Su Dongmei; Non-Executive Director Ms. Zhang Jiaoe; and Independent Non-Executive Directors Mr. Pu Tianruo, Ms. Yang Hoi Ti Heidi and Mr. Ng Joo Yeow Gerry.
