DMall Inc. Executes HK$6.72 Million Share Repurchase; Treasury Shares Rise to 44.73 Million

DMall Inc. disclosed that on 21 May 2026 it repurchased 1.06 million ordinary shares on the Hong Kong Stock Exchange for an aggregate consideration of HK$6.72 million. The purchase price ranged between HK$6.22 and HK$6.45 per share, translating to a volume-weighted average of HK$6.35.

Following the transaction:

• Issued shares outstanding (excluding treasury shares) declined by 1.06 million, or 0.12%, to 892.76 million.

• Treasury share holdings increased to 44.73 million.

• Total issued share capital remained unchanged at 937.49 million shares because the repurchased shares have been retained as treasury shares rather than cancelled.

Mandate utilisation:

• The repurchase forms part of the mandate approved on 23 May 2025, which authorises buybacks of up to 89.96 million shares.

• Cumulative repurchases under this mandate now total 44.73 million shares, representing 4.97% of the company’s issued shares as at the mandate date.

As required by listing rules, DMall is subject to a moratorium on issuing new shares or disposing of treasury shares until 20 June 2026. The company confirmed that the repurchase complied with all applicable Hong Kong Stock Exchange regulations.
