Asset Chain: No Share Movements in June; HK 311.30 Million Convertible Notes Could Add Up to 2.19 Billion New Shares

Asset Chain Limited (Asset Chain, HKEX: 00616) has filed its Monthly Return for the period ended 30 June 2026, confirming a stable share base and outlining sizeable outstanding convertible notes that carry significant potential dilution.

At month-end, authorised share capital remained unchanged at 40.00 billion ordinary shares with a par value of HKD 0.01, equivalent to HKD 400.00 million. Issued share capital was steady at 1.87 billion shares, and the company held no treasury shares. Asset Chain affirmed compliance with the Main Board’s minimum 25% public-float requirement.

No equity issuance, share repurchase, option exercise or warrant conversion occurred during June, leaving total issued and treasury share counts unchanged.

Convertible financing remains the key potential source of future share expansion: • 2023 Convertible Note: HKD 24.50 million outstanding, convertible at HKD 0.05 per share, allowing up to 0.49 billion new shares. • 2025 Convertible Note: HKD 286.80 million outstanding, convertible at HKD 0.169 per share, allowing up to 1.70 billion new shares.

Combined, these instruments could introduce approximately 2.19 billion additional shares—about 117% of the current issued share base—if fully converted.

No other share option schemes, warrants, or HDR activities were reported for the month. All regulatory confirmations required under HKEX Main Board Rule 13.25C have been provided by Director Lai Law Kau, indicating full compliance with listing and legal obligations.
