Nissin Foods: Shareholders Endorse 15.88-Cent Final Dividend and All 2026 AGM Resolutions

At the Annual General Meeting (AGM) held on 3 June 2026, Nissin Foods Company Limited (Nissin Foods, 01475) secured overwhelming shareholder backing for every item on its agenda, including the declaration of a HK 15.88 cents per-share final dividend for the financial year ended 31 December 2025.

Ordinary resolutions 1 to 8 each garnered support ratios ranging from 99.42% to 99.99%. The audited 2025 financial statements were adopted with 99.99% approval, mirroring the endorsement rate for the proposed final dividend.

Board composition remains unchanged after the re-election of Executive Directors Mr Kiyotaka Ando, Mr Katsunori Hiroi, Mr Xi Xiaotong and Mr Takayuki Yagi; the remuneration framework for directors was also ratified. Deloitte Touche Tohmatsu was re-appointed as external auditor with 99.49% of votes cast in favour.

Shareholders granted the Board fresh mandates: • Share buy-back authority of up to 10% of issued share capital (99.99% approval). • General issuance mandate of up to 20% of issued shares (99.42% approval). • Extension of the issuance mandate by the amount of shares repurchased (99.43% approval).

Resolution 8, concerning revised annual caps for 2026-2028 under the master agreement for raw material and product sales with parent company Nissin Foods Holdings Co., Ltd., passed with 99.99% approval. The parent’s 752.02 million shares (72.05% of issued capital) were excluded from voting in accordance with Hong Kong Listing Rules.

A special resolution to adopt amended Articles of Association received 99.99% support, surpassing the 75% threshold required.

As of the AGM date, Nissin Foods had 1.04 billion issued shares. The trustee of the company’s share award scheme abstained from voting its 103,963 unvested shares. Computershare Hong Kong Investor Services Limited acted as poll scrutineer, and all directors attended the meeting in person.
