Scholar Education Group (1769) announced on November 4, 2025, the signing of a joint venture agreement with Shenzhen Huaxia Junyong for the research and development of educational artificial intelligence robots. Scholar Education Group, through its subsidiary Shenzhen Fengye, will contribute RMB 115.5 million in cash, while Shenzhen Huaxia Junyong will contribute RMB 269.5 million, resulting in a total registered capital of RMB 385 million. The equity ratio will be 30% for Scholar Education Group and 70% for Shenzhen Huaxia Junyong.
According to the joint venture agreement, both parties are set to complete their respective capital injections by March 31, 2026 (or another mutually agreed date). The newly formed entity, treated as an associate of Scholar Education Group, aims to leverage advanced robotech resources for educational settings and integrate these technologies with existing operations. Scholar Education Group will nominate one director on the three-member board, while two will be nominated by Shenzhen Huaxia Junyong.
In compliance with the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited, this formation constitutes a discloseable transaction, as its applicable percentage ratios exceed 5% but remain below 25%. It therefore requires a formal announcement but does not mandate a circular or shareholders’ approval under Chapter 14 of the Listing Rules.
