ENM Holdings Limited released its Rule 3.7 monthly update on 15 July 2026, confirming that the government’s road-gazettal procedure—an essential prerequisite for the proposed disposal of the Hilltop Land via tender—remains in progress. The company is working with Hong Kong’s Lands Department to accelerate the process, but no publication date for the gazette notice has been provided.
The proposed disposal is a trigger for several subsequent actions, including: • Proposed Distribution of proceeds to shareholders • Proposed voluntary delisting from the Hong Kong Stock Exchange • Proposed winding-up of the company
All three initiatives are contingent upon successful completion of the land sale. ENM Holdings reiterated that identification of a purchaser is not yet assured, and the overall transaction sequence may or may not proceed.
In line with Hong Kong’s Takeovers Code (Rule 3.7), ENM Holdings will continue to release monthly updates until either a firm intention to proceed (Rule 3.5) or a decision to terminate the process is announced. Shareholders and potential investors are urged to exercise caution when trading the company’s shares.
The update was authorized by Executive Director and Chief Executive Officer Penny Soh Peng Crosbie-Walsh on behalf of the Board. The Board presently comprises one executive director, one non-executive director, and three independent non-executive directors.
