The board of ST HLDGS (08305) has been informed by Mr. Xiang Congxin, an executive director and chairman of the board, that on January 21, 2026, Mr. Xiang entered into a sale and purchase agreement with Mr. Xu Changcheng. Under the terms of the agreement, Mr. Xiang has agreed to sell, and Mr. Xu has agreed to purchase, all of the issued shares of Advanced Pacific Enterprises Limited. Advanced Pacific is a shareholder of the company, currently holding 101 million shares, which represents approximately 6.20% of the company's total issued share capital as of the date of this announcement, for a consideration of HK$17 million. Mr. Xiang further reported that, to his knowledge, Mr. Xu currently holds 302 million shares prior to the completion of the sale and is a substantial shareholder of the company. Upon completion of the sale, Mr. Xu will hold approximately 24.80% of the company's total issued share capital, with 6.20% held through Advanced Pacific and 18.60% held directly by him.
