ATV Holdings (00707) announced that on August 15, 2025, the company was notified by RSM HK Business Advisory Limited (RSM) that pursuant to (i) a loan agreement dated March 26, 2019 between the company (as borrower) and Kingston Securities Limited (the lender) for a loan of HK$194.2 million; (ii) a debenture dated January 21, 2020 between the company (as chargor) and the lender over all fixed properties and assets of the company (of whatever nature and wheresoever situate now or hereafter); and (iii) a debenture dated January 21, 2020 between Star Platinum Enterprises Limited (Star Platinum, as chargor) and the lender over all fixed properties and assets of Star Platinum (of whatever nature and wheresoever situate now or hereafter), on August 15, 2025, the lender appointed Mr. Chan Leung Lee and Mr. Wu Shek Chun of RSM (the receivers) as joint and several receivers of all assets of the company and Star Platinum respectively. Star Platinum is a wholly-owned subsidiary of the company. Star Platinum and its subsidiaries are principally engaged in media, culture and entertainment business. The company is currently seeking legal advice and communicating with the lender and the receivers regarding the appointment matters. As of the date of this announcement, the company is unable to assess the financial or operational impact of the appointment of the receivers, pending further actions to be taken by the receivers. As of July 31, 2025, the total outstanding amount under the loan agreement was approximately HK$382 million. As disclosed in the company's annual report for the year ended December 31, 2024, the net liabilities of the company together with its subsidiaries were approximately RMB 766.5 million. Accordingly, the receivers may sell all or substantially all of the assets of the company to repay the outstanding amounts under the loan agreement.
