Everest Med Lifts Issued Share Count to 354.08 Million in August on Option Exercises

Everest Medicines Limited disclosed in its monthly return to Hong Kong Exchanges and Clearing (HKEX) that total issued ordinary shares rose by 238,309 during August 2026, pushing the outstanding share base to 354.08 million. Treasury shares remained at zero, keeping the entire issued share count in circulation and ensuring continued compliance with the 25% minimum public-float requirement under Main Board Rule 13.32B.

The increase stemmed exclusively from exercises under the Post-IPO Share Option Scheme, which generated HKD 5.21 million in proceeds. Following these transactions, 20.42 million options under this plan and 158,573 options under the Pre-IPO Employee Share Option Plan remain outstanding. The recently adopted 2026 Share Scheme holds 473,178 unexercised options, while a further 33.49 million shares are still available for future grants under that scheme.

Beyond options, Everest Medicines has capacity to issue up to 2.48 million shares via restricted stock units (RSUs) from the Pre-IPO plan, 0.83 million shares through its Post-IPO Share Award Scheme, and 1.39 million shares under the 2026 Share Scheme’s award component. No new shares were issued and no treasury shares were transferred under these award programmes during the month.

Authorised share capital stayed unchanged at 500 million ordinary shares with a par value of USD 0.0001 each, equivalent to total authorised capital of USD 50,000. No warrants, convertible securities, or other equity-linked instruments were outstanding or converted during the period.

All share issuances were duly authorised by the board and carried out in accordance with HKEX Listing Rules and relevant regulations, the company confirmed.
