The share placement agreement for GENFLEET-B (02595) has met all stipulated conditions, with settlement completed on July 17, 2026, in accordance with the agreement's terms.

The placement agent successfully allotted a total of 13.6 million shares to no fewer than six placees at a price of HK$34.69 per share.

Following the issuance of these new shares, they represent approximately 3.87% of the enlarged H-share capital and about 3.54% of the company's total issued share capital as of the announcement date.

The gross proceeds from the placement amount to HK$471.8 million, with estimated net proceeds, after deducting commissions and related expenses, reaching approximately HK$466.9 million.
