Red Avenue New Materials Group Co., Ltd. (09607.HK) has officially kicked off its Hong Kong public offering today, with the company seeking to raise approximately HK$2.7 billion in a deal that highlights its status as a leading domestic player in semiconductor photoresist substitution. The H-share offer price represents a discount of nearly 50% compared to the company's A-share listing on the Shanghai Stock Exchange.

The Hong Kong public offering runs from September 21 to September 24, 2026, with shares expected to begin trading on the Stock Exchange of Hong Kong on September 29, 2026, at 9:00 a.m. The offer price range is set between HK$39.00 and HK$44.00 per share, with each board lot comprising 100 shares.

Based on the A-share closing price of RMB 73.55 and an exchange rate of HK$1 to RMB 0.854, the lower end of the offer range translates to approximately RMB 33.31 per share, representing a discount of roughly 54.7% to the A-share price. The upper end of HK$44.00 equates to around RMB 37.58, a discount of 48.9%, while the midpoint price of HK$41.50 yields a discount of approximately 51.8%. It is important to note that the A-share and H-share markets are separate trading venues with distinct liquidity profiles, shareholder structures, and trading rules, and this discount does not necessarily imply a risk-free arbitrage opportunity.

The global offering comprises 68.12 million H-shares in total, with the Hong Kong public offering accounting for approximately 6.81 million shares, or 10% of the global offering, and the international placement covering the remaining 61.31 million shares, or 90%. At the midpoint price of HK$41.50, the company expects net proceeds of approximately HK$2.706 billion.

A total of eight cornerstone investors have subscribed for approximately US$126.4 million worth of shares at the midpoint price, representing 35.06% of the global offering, subject to a six-month lock-up period. The cornerstone roster includes CIB (Hong Kong) Investment Limited, Manbang Group Co., Ltd., Golden Valley Value Select Master Fund, Goldshore Company Limited, Happy Wisdom Limited, Prinx Chengshan (Hong Kong) Tire Co., Ltd., Mr. Yang Quanhai, and Ms. Zhou Bo.

Where the business stands

Red Avenue operates as a comprehensive new materials supplier in China, with its business spanning three major segments: tire rubber additives, electronic materials, and fully biodegradable materials.

In the tire rubber additives segment, which serves as the company's foundational business, Red Avenue ranked first globally in sales revenue for phenolic resin rubber additives in the fiscal year 2025, holding a 41.4% global market share and a 45.9% domestic market share according to Frost & Sullivan. The company's industry leadership position remains well entrenched.

The electronic materials segment, focused primarily on semiconductor photoresists, represents the company's core growth engine. In fiscal 2025, Red Avenue ranked first among domestic suppliers of semiconductor photoresists in China with a 5.8% market share, and also led domestic suppliers of TFT array photoresists with a 26.2% market share. This positions the company as a key player in the domestic substitution trend for photoresist materials.

The fully biodegradable materials segment serves as a new growth frontier, with the company building out its presence in the green new materials sector.

Financial track record

The company has demonstrated consistent financial growth across recent fiscal years. Revenue for fiscal 2023 reached RMB 2.937 billion with net profit attributable to shareholders of RMB 404.1 million. In fiscal 2024, revenue grew to RMB 3.263 billion with attributable net profit of RMB 534.2 million. Fiscal 2025 saw revenue of RMB 3.421 billion and attributable net profit of RMB 577.3 million. For the first half of fiscal 2025, the company reported revenue of RMB 1.651 billion and attributable net profit of RMB 358.3 million, while the first half of fiscal 2026 delivered revenue of RMB 2.133 billion and attributable net profit of RMB 389.1 million. The company's earnings quality remains solid with steady expansion across periods.

Use of proceeds

Based on the midpoint offer price of HK$41.50, the company has allocated the net proceeds across several strategic priorities. Approximately 32.8% will be directed toward increasing research and development investment to enhance R&D efficiency and technical capabilities, with a key focus on advancing photoresist and other new materials technology iterations. A further 21.0% is earmarked for upgrading and maintaining production facilities and expanding capacity to strengthen product competitiveness. Strategic investments and acquisitions will receive 20.0% of proceeds to pursue industry synergies and execute the company's long-term growth strategy. Repayment of bank borrowings accounts for 10.0%, addressing debt with annual interest rates ranging from 2.24% to 2.45% and maturities concentrated between 2027 and 2031. Overseas market expansion and supply chain capability building will receive 6.2%, while the remaining 10.0% is allocated to working capital and general corporate purposes.

Key observations for investors

Several notable factors warrant attention regarding this offering. The cornerstone investment represents 35.06% of the shares on offer, with eight investors spanning industrial capital, institutional funds, and individual investors. With over one-third of the offering locked up, the near-term tradable float is somewhat constrained. The placement structure allocates 90% to international placement and only 10% to the Hong Kong public offering, meaning chips are concentrated on the institutional side, which could amplify price volatility during grey market trading and on the first day of listing.

The company carries a dual leadership narrative: a global leader in traditional rubber additives providing stable fundamentals, paired with the semiconductor photoresist domestic substitution story as the core growth driver. Notably, Red Avenue maintains consistent profitability, distinguishing it from many loss-making technology companies that have recently listed on the Hong Kong market. The substantial discount of roughly 50% between the H-share offer price and the current A-share price is significant, but given the vastly different liquidity conditions and valuation frameworks across the two markets, investors should not rely solely on this price differential when assessing investment merit.

Risk factors

Potential investors should remain mindful of several risk considerations. The semiconductor photoresist industry experiences rapid technological evolution, and any shortfall in domestic substitution progress could impact the electronic materials segment's revenue. The tire industry's cyclical nature means downstream tire manufacturers' capital expenditure and demand fluctuations could adversely affect the rubber additives business. Intensifying competition in the new materials sector poses a risk of margin compression through pricing pressure. Hong Kong new listings carry significant trading dynamics, and cornerstone investor lock-ups do not guarantee share price appreciation. Finally, the substantial discount between A-share and H-share prices does not necessarily indicate arbitrage opportunities given the structural differences between the two markets.
