Mainland Headwear to Seek Shareholders’ Approval for 6-cent Final Dividend, Director Re-election and New Issue/Buyback Mandates at 22 May AGM

Mainland Headwear Holdings Limited will hold its annual general meeting on 22 May 2026 at 11:00 a.m. in Hong Kong. Key resolutions to be put to shareholders include:

1. Dividend • A final dividend of HK$0.06 per share for the financial year ended 31 December 2025 is proposed. • The share register will close from 1 June to 4 June 2026 for dividend entitlements; transfers must be lodged by 4:30 p.m. on 29 May 2026.

2. Board Composition • Three directors are standing for re-election: – Ngan Po Ling, Pauline (Executive Director, Deputy Chairman & Managing Director) – Cheung Tei Sing, Jamie (Independent Non-executive Director) – Li Yinquan (Independent Non-executive Director) • All are eligible and have offered themselves for re-election. • Independent directors Cheung and Li have each served since September 2023 and are deemed independent under Rule 3.13 of the Listing Rules.

3. General Mandates • Share Issue Mandate: authorises the board to issue up to 20 % of issued share capital, representing a maximum of 85.83 million new shares, plus any shares repurchased under the buyback mandate. • Share Buyback Mandate: permits on-market repurchases of up to 10 % of issued share capital, or 42.92 million shares. • Both mandates run until the next AGM, earlier revocation, or statutory expiry.

4. Share Capital Snapshot • As at 13 April 2026, issued share capital totals 429.16 million shares; no treasury shares are held. • Any repurchased shares may be cancelled or held in treasury, subject to regulatory requirements.

5. Voting Arrangements • All resolutions will be decided by poll; no shareholder is required to abstain. • Proxy forms must be lodged with Tricor Investor Services by 11:00 a.m. on 20 May 2026.

6. Timetable for AGM Attendance • Share register will close from 19 May to 22 May 2026; transfers for AGM voting rights must be registered by 4:30 p.m. on 18 May 2026.

7. Director Remuneration Highlights • Ngan Po Ling receives a monthly package of HK$270,000 plus discretionary bonus (HK$3.00 million for FY 2025). • Independent directors Cheung and Li each receive HK$180,000 per annum.

The board recommends shareholders vote in favour of all proposed resolutions, citing expected benefits to capital flexibility and shareholder returns.
