SUNNY OPTICAL (02382) announced that on August 21, 2025, certain subsidiaries of the group entered into a memorandum of understanding with Goertek Inc. (002241.SZ) and Goertek Optics. Under the MOU, the contracting parties have agreed to conduct further negotiations to finalize a definitive agreement regarding a subscription transaction, with the following key terms: (i) upon completion of the restructuring, Ningbo Aolai will contribute its entire equity stake in Shanghai Aolai as capital to subscribe for equity interests in Goertek Optics; and (ii) following completion of the subscription, Ningbo Aolai will hold approximately 33.33% equity in Goertek Optics post-transaction.

Artificial Intelligence (AI) is advancing rapidly worldwide, with certain new AI products such as AI smart glasses and augmented reality (AR) hardware gaining significant attention. These AI and AR products are widely anticipated to experience rapid growth in the coming years. Shanghai Aolai has been deeply engaged in wafer-level micro-nano optics for many years, establishing a solid and competitive foundation with an experienced technical team equipped with advanced tools, equipment, and machinery. Goertek Optics has specialized in high-precision optical technologies for many years, building an experienced technical team with particular expertise in optical waveguide components and maintaining a broad customer base.

The board of directors believes that the subscription transaction, if implemented, will foster complementary advantages between Shanghai Aolai and Goertek Optics, significantly strengthening Goertek Optics' core competitiveness in optical waveguides and other wafer-level micro-nano optical devices, particularly for AI and AR product applications, upon completion of the transaction.
