09/17

CGN New Energy Holdings Co., Ltd. disclosed on 17 September 2026 that it repurchased an additional 0.38 million ordinary shares on 16 September via on-market transactions at prices between HKD 2.125 and HKD 2.14, for a total consideration of HKD 0.82 million.

Including this latest trade, the company has bought back 5.19 million shares between 1 and 16 September, all earmarked for cancellation. The cumulative repurchases represent approximately 0.12% of the 4.29 billion shares outstanding as at the mandate date (28 May 2026). Aggregate consideration for the month-to-date programme is estimated at about HKD 11.11 million, implying a volume-weighted average repurchase price of roughly HKD 2.14 per share, within a range of HKD 2.10–HKD 2.17.

Despite the buybacks, CGN New Energy’s issued share capital remains unchanged at 4.29 billion shares, as the repurchased shares had not yet been cancelled by the 16 September cut-off. Under the current shareholder mandate, the company is authorised to repurchase up to 428.99 million shares; the purchases executed to date utilise around 1.21% of that limit.

In line with Hong Kong Stock Exchange Main Board Rule 10.06(3)(a), CGN New Energy is subject to a moratorium on new share issues or treasury-share sales until 16 October 2026. The board confirmed that all repurchase activities complied with applicable listing rules and legal requirements.
