Oi Wah sets HK$3.15 million annual cap for connected-party tenancy renewals

Oi Wah Pawnshop Credit Holdings Limited (“Oi Wah”) has renewed four tenancy agreements with connected landlords to secure premises for its pawnshop operations and head-office space, triggering the reporting and announcement requirements under Chapter 14A of the Hong Kong Listing Rules.

Annual caps and Listing Rules implications

• Aggregated annual caps: HK$3.15 million for the year ending 28 Feb 2027 and HK$0.62 million for the year ending 29 Feb 2028, calculated from agreed rent and maximum management fees. • Aggregated percentage ratios exceed 0.1% but remain below 5%; therefore, the transactions require reporting, announcement and annual review, but are exempt from circular and independent shareholders’ approval. • Individually, each tenancy falls below the de-minimis thresholds (consideration < HK$3 million and percentage ratios < 5%).

Rationale and funding

The properties are currently used as three pawnshops and the group’s head office. Renewal avoids operational disruption and was agreed on normal commercial terms, benchmarked against prevailing market rents and an independent valuation dated 15 May 2026. All rental payments will be funded from internal resources.

Board approval and connected persons

Four directors who are beneficiaries of the Chan Family Trust or Kwan Lik Trust abstained from voting. The remaining board members, including all independent non-executive directors, consider the terms fair, reasonable and in the interests of shareholders as a whole.
