361 Degrees International Ltd. announced a board realignment effective 8 July 2026, featuring the resignation of Independent Non-Executive Director (INED) Ms. Ferheen Mahomed and the appointment of Ms. Jenny Chen as her replacement.

Ms. Mahomed resigned as INED and ceased to serve on the Nomination Committee after indicating limited capacity to assume expanded audit-related responsibilities. She confirmed no disagreement with the board and no matters requiring shareholder attention.

Ms. Chen, age 47, joins the board as an INED and becomes a member of the Audit, Nomination, and Remuneration Committees. With more than two decades of legal experience—including partnership at Hong Kong-based CFN Lawyers LLP and prior roles at Maples and Calder, American International Assurance, DLA Piper, and Woo Kwan Lee & Lo—Ms. Chen brings extensive corporate, regulatory, and capital-markets expertise. She also serves as an independent director of Sisram Medical Ltd.

Under a three-year service contract commencing 8 July 2026, Ms. Chen will receive annual remuneration of HK$0.42 million, subject to customary rotation and re-election requirements. She holds no shares in 361 Degrees, meets all independence criteria under Listing Rule 3.13, and has no ties to the company’s substantial shareholders or management.

Post-change, the board comprises four executive directors—Mr. Ding Wuhao, Mr. Ding Huihuang (Chairman), Mr. Ding Huirong, and Mr. Wang Jiabi—and four INEDs: Mr. Wu Ming Wai Louie, Mr. Hon Ping Cho Terence, Mr. Chen Chuang, and Ms. Jenny Chen. The company expects Ms. Chen’s appointment to enhance board diversity and strengthen its governance and oversight capabilities.
