TIANGE Calls 29 May 2026 AGM; Board Seeks Approval for HK$0.02 Final Dividend and New Auditor

Tian Ge Interactive Holdings Limited (TIANGE) has released its proxy form for the Annual General Meeting (AGM) scheduled for 29 May 2026 at 2:30 p.m. in Hangzhou, Zhejiang. Key items to be put before shareholders include the following:

• FY2025 Results and Dividend – Shareholders will vote on the adoption of the audited consolidated financial statements for the year ended 31 December 2025 and a proposed final dividend of HK$0.02 per share, to be distributed from the share premium account.

• Board Composition – The meeting will consider the re-election of four directors: executive directors Mr. Mai Shi’en and Mr. Zhao Weiwen, non-executive director Ms. Cao Fei, and independent non-executive director Mr. Wang Mingchun. The board also seeks authorization to set directors’ remuneration.

• Auditor Change – Approval is sought to appoint Rongcheng (Hong Kong) CPA Limited as the company’s auditor and to authorize the board to determine its remuneration.

• Share Issuance and Repurchase Mandates – Management is requesting a general mandate to issue additional securities up to 20 % of the company’s issued share capital (excluding any treasury shares) and a separate mandate to repurchase up to 10 % of issued shares. Subject to both mandates passing, the share issuance limit may be enlarged by the amount of shares repurchased.

Proxy forms must be lodged with Tricor Investor Services Limited no later than 2:30 p.m. on 27 May 2026. Shareholders retaining their forms of proxy still retain the right to attend and vote in person at the AGM.
