SOFTCARE (02698) announced that the company's board has been notified by its Non-Executive Director and controlling shareholder, Ms. Yang Yanjuan, that she purchased a total of 876,400 ordinary shares of the company from the open market between May 15, 2026, and May 22, 2026, at an average price of approximately HK$25.63 per share. From April 27, 2026, to the date of this announcement, Ms. Yang has acquired a total of 1,892,400 ordinary shares of the company from the open market.

Ms. Yang is the spouse of Mr. Shen Yanchang, the company's founder, Chairman of the Board, Non-Executive Director, and controlling shareholder. Under Hong Kong's Securities and Futures Ordinance (Chapter 571), Ms. Yang and Mr. Shen are deemed to have an interest in the company's shares held by the other. Following the aforementioned share acquisitions, Ms. Yang and Mr. Shen are each deemed to have an interest in 334 million ordinary shares of the company, collectively representing approximately 53.74% of the company's total issued share capital as of the date of this announcement.

The Board of Directors believes that these share acquisitions demonstrate Ms. Yang's firm and sustained confidence in the company's development prospects and growth potential.
