Meituan Maintains Stable Capital Structure in May 2026; No Share Issuance or Treasury Activity

Meituan’s monthly return for the period ended 31 May 2026 indicates a steady capital position, with no changes to authorised, registered or issued share capital during the month.

Authorised and Registered Share Capital • WVR ordinary Class B shares: 9.26 billion authorised at a par value of USD 0.00001, unchanged from April, equal to USD 92,644.31. • WVR ordinary Class A shares: 0.74 billion authorised at the same par value, unchanged at USD 7,355.69. • Aggregate authorised share capital remained at USD 0.10 million.

Issued Shares and Public Float • Class B shares in issue: 5.60 billion; Class A shares in issue: 0.58 billion. • No treasury shares are held, and there were no issuances, cancellations or repurchases in May. • The company confirmed compliance with the Main Board’s 25% minimum public-float requirement for its listed Class B shares.

Equity Incentive Plans • Pre-IPO employee stock option scheme: 11.18 million options outstanding; none exercised. • Post-IPO share option scheme: 57.33 million options outstanding, with authorisation for up to 359.80 million additional shares upon future grants. • Post-IPO share award scheme: capacity for 110.55 million shares remains available; no restricted share units were vested or transferred.

Convertible Bonds • Zero-coupon convertible bonds due 2027: USD 20.30 million outstanding, convertible into up to 0.37 million Class B shares at HKD 431.24 per share; no conversions occurred. • Zero-coupon convertible bonds due 2028: USD 18.60 million outstanding, convertible into up to 0.34 million Class B shares at the same price; no conversions occurred.

Liquidity and Capital Outlook With no equity issuance, share buy-backs or treasury transactions recorded in May, Meituan’s share count and capital base remain unchanged. The existing pool of options, awards and convertible bonds represents potential—but currently unutilised—sources of future dilution amounting to roughly 13.1% of the company’s total issued Class B shares. The company’s confirmation of public-float compliance and stable capital levels suggest a consistent equity structure entering the second half of 2026.
