INSILICO Issues 2.44 Million New Shares in September; Total Share Capital Rises to 585.12 Million

InSilico Medicine Cayman TopCo (INSILICO, HKEX: 03696) reported a net issuance of 2.44 million ordinary shares for September 2026, lifting its outstanding share count to 585.12 million—an increase of roughly 0.42% versus August’s 582.68 million.

The bulk of the expansion stemmed from the exercise of 2.39 million options under the company’s Pre-IPO Equity Incentive Plans, generating HKD 11.02 million in proceeds. A further 47,225 shares were issued through restricted-share-unit (RSU) grants from the same pre-IPO plans. No treasury shares were created, cancelled, or transferred during the month.

Key capital metrics remained stable: • Authorised share capital stayed at 1.27 billion shares with a par value of USD 0.0000005, equivalent to total registered capital of USD 635. • Public-float requirements continue to be satisfied, exceeding the 15% minimum threshold. • Outstanding options under legacy pre-IPO plans fell to 17.78 million after the month’s exercises, while the Post-IPO Share Option Scheme still allows for up to 24.98 million future share issuances.

Debt-linked dilution potential is unchanged. INSILICO’s USD 305.00 million zero-coupon convertible bonds due 2027 remained fully outstanding, carrying a conversion price of HKD 58.07 per share and representing up to 41.17 million additional shares if fully converted.

No movements were reported in warrants, treasury-share transactions, or other equity-linked instruments. The filing was signed by Chairman and CEO Aleksandrs Zavoronkovs on 7 October 2026.
