PAGODA GP (02411) announced that all conditions set out in the placement agreement and its supplemental agreement dated October 6, 2025 (collectively the "Placement Agreement") have been fulfilled, and completion has been implemented on October 9, 2025 in accordance with the terms and conditions of the Placement Agreement. The placing agent has successfully placed an aggregate of 279.5 million placing shares to not less than six placees under the terms and conditions of the Placement Agreement at a placing price of HK$1.17 per placing share, representing approximately 18.2% of the number of shares in issue immediately before completion and approximately 15.4% of the enlarged number of shares in issue immediately after completion as enlarged by the allotment and issue of the placing shares as of the date of this announcement.
