Gaush Meditech announced a simultaneous reshuffle of its independent non-executive directors (INEDs) and related board committees, effective 12 June 2026.
Three INEDs—Mr. Feng Xin, Mr. Wang Li-Shin and Mr. Chan Fan Shing—resigned owing to other business commitments. Their departures also vacate leadership positions across the Remuneration, Nomination and Audit Committees.
To restore the board’s independent oversight, the company appointed three new INEDs:
• Ms. Cheng Juan, 40, assumes the roles of INED, chair of the Remuneration Committee and member of both the Audit and Nomination Committees. Her background spans corporate strategy, capital markets and fund management, most recently as deputy general manager of Hejun International Investment.
• Mr. Yubing Li, 59, becomes INED, chair of the Nomination Committee and member of the Remuneration Committee. He founded New Zealand-based Reach NZ Limited and has prior scientific-research and cross-border supply-chain experience.
• Ms. Qiu Xiaoling, 53, is appointed INED and chair of the Audit Committee. A Chinese Certified Public Accountant, Certified Tax Agent and U.S. Certified Management Accountant, she brings extensive auditing and tax-advisory expertise.
Each new INED enters a three-year term—terminable with one month’s notice—receiving an annual director’s fee of RMB0.08 million. All appointees have confirmed independence under Hong Kong Listing Rules, hold no company shares, and report no conflicts of interest with existing directors or substantial shareholders.
Following the changes, Gaush Meditech’s board comprises six executive directors, one non-executive director and three independent non-executive directors, restoring compliance with exchange requirements for independent oversight.
