BeijingWest Industries International Limited (2339) announced a series of new continuing connected transactions with its controlling shareholder, BWI Group. These transactions cover four key agreements—Mutual Technical Services, Parts and Components Supply, Parts and Components Purchase, and Patent License—all effective from 1 January 2026 to 31 December 2028.

Under the new Mutual Technical Services and Parts and Components Supply Agreements, the applicable percentage ratios exceed 5%. Accordingly, both agreements require Independent Shareholders’ approval, in addition to meeting reporting, announcement, circular, and annual review requirements under the Hong Kong Stock Exchange Listing Rules. Meanwhile, the Parts and Components Purchase Agreement and Patent License Agreement—whose percentage ratios fall below 5%—do not need Independent Shareholders’ approval but remain subject to reporting, announcement, and annual review obligations.

According to the announcement, BWI Group remains the controlling shareholder, rendering these transactions connected under Chapter 14A of the Listing Rules. Directors not connected with BWI Group view the arrangements as fair and beneficial to the company’s operations. An Extraordinary General Meeting will be convened for Independent Shareholders to consider and vote on the proposed Mutual Technical Services and Parts and Components Supply Agreements. The announcement also highlights internal control and monitoring measures, including regular transaction reviews, compliance checks, and annual audits to ensure that pricing and other terms remain fair and in line with market standards.
