Shun Ho Property Investments Limited has convened its 2026 annual general meeting (AGM) for 15 June 2026 at the Best Western Plus Hotel Hong Kong. Key resolutions to be put before shareholders are as follows:
• Statutory Accounts: Shareholders will receive and consider the audited financial statements for the year ended 31 December 2025, together with the directors’ and independent auditor’s reports.
• Board Composition: Separate resolutions will seek the re-election of executive director Albert Hui Wing Ho, non-executive director Mabel Lui Fung Mei Yee, and independent non-executive director Lam Kwai Cheung. The board will also be authorised to determine director remuneration.
• Auditor Re-appointment: Deloitte Touche Tohmatsu is nominated for re-appointment as external auditor. The audit fee for the year ending 31 December 2026 is expected to be approximately HK$2.70 million.
• Share Buy-back Mandate: Management is requesting a general mandate to repurchase up to 10% of issued shares (excluding any treasury shares) on the Hong Kong Stock Exchange or other recognised bourses during the mandate period, which runs until the earlier of the next AGM, the statutory deadline for holding that meeting, or revocation by shareholders.
• Share Issuance Mandate: A parallel mandate would permit the board to allot and issue new shares up to 10% of the company’s issued share capital (excluding treasury shares), with an additional extension allowing the aggregate number of shares repurchased under the buy-back mandate to be added to this limit—effectively enabling issuance of up to a further 10%.
• Governance Update: A special resolution proposes the adoption of a new articles of association, eliminating the previous “objects” clauses to align with current Hong Kong company legislation.
Administrative details: The share register will be closed from 10 June 2026 to 15 June 2026 (both days inclusive) for AGM eligibility. Proxy appointments must be lodged with Tricor Investor Services by 13 June 2026 at 10:20 a.m. In case of severe weather, the meeting will be rescheduled with notice via the HKEXnews and company websites.
