China New Town Development Company Limited (CHINANEWTOWN) reported that at its 25 June 2026 annual general meeting, shareholders endorsed every agenda item except the withdrawn proposal tied to retiring non-executive director Wang Yi. All remaining nine ordinary resolutions and one special resolution were passed by poll with support of at least 99.99%.
A final dividend of HK$0.0025 per share for the year ended 31 December 2025 was approved. The vote registered 6.97 billion shares, representing 100% of ballots cast, in favour of the payout.
Governance items saw sizeable backing: • Executive director Shi Janson Bing and non-executive directors Xie Zhen and Qin Yangfan were re-elected with 100% support. • Independent non-executive director Lo Wai Hung secured 99.99% approval. • The board was authorised to set directors’ remuneration for 2026. • Rongcheng (Hong Kong) CPA Limited was re-appointed auditor with full backing.
Shareholders also passed a special resolution—garnering 100% support—to adopt amended and restated memorandum and articles of association.
Capital present for voting amounted to 6.97 billion shares out of 9.73 billion issued, with no abstentions or votes against most items. Tricor Investor Services acted as scrutineer.
Upon the AGM’s conclusion, Wang Yi retired as non-executive director; the board recorded appreciation for his service.
The current board now comprises two executive directors, four non-executive directors and three independent non-executive directors.
