ZTO Express Executes Further Share Buyback; Cumulative Repurchases Reach 13.73 Million Shares, 1.79% of Share Base

ZTO Express (Cayman) Inc. disclosed that on 30 September 2026 it repurchased 609,079 American depositary shares (ADSs) – each representing one Class A ordinary share – on the New York Stock Exchange. The transaction was executed at prices between USD 19.44 and USD 19.57 per ADS, with total consideration of USD 11.88 million, implying an average cost of approximately USD 19.52 per ADS.

Including this latest tranche, ZTO has bought back 13.73 million Class A ordinary shares since the current mandate was approved on 16 June 2026. The cumulative volume represents 1.79% of the company’s issued share capital as at the mandate date and utilises roughly 17.9% of the 76.60 million-share repurchase authority.

All repurchased shares are intended for cancellation; however, none had been cancelled as of 30 September 2026. Accordingly, the company’s issued share capital remains unchanged at 557.33 million Class A ordinary shares and 206.10 million Class B ordinary shares, totalling 763.43 million shares.

Under Hong Kong Listing Rule 10.06(3)(a), ZTO is subject to a moratorium on issuing new shares until 30 October 2026 following the latest buyback. The board confirms that all repurchases have complied with applicable regulations on both the Hong Kong Stock Exchange and the New York Stock Exchange.
