Bank of Jiujiang Schedules 2025 AGM for 12 June 2026; Proposes RMB159.45 Million Dividend and Jiuyin County Banks Merger

Bank of Jiujiang Co., Ltd. will convene its 2025 annual general meeting (AGM) at 10:00 a.m. on 12 June 2026 at the Bank of Jiujiang Mansion, Jiujiang, Jiangxi Province.

Key items on the agenda are as follows:

1. Board Composition • Shareholders will vote on the election of 10 directors to form the Bank’s eighth Board, comprising two executive, four non-executive and four independent non-executive directors.

2. Statutory Reports • The AGM will review and approve the 2025 Board Report, the Audit Committee’s evaluation of directors, former supervisors and senior management, and the 2025 financial statements.

3. Profit Distribution • Management proposes a final cash dividend of RMB0.56 per ten shares (RMB0.056 per share), amounting to approximately RMB159.45 million (tax inclusive). • The dividend, denominated in renminbi, will be paid on or before 31 July 2026 to shareholders on record as of 24 June 2026.

4. Auditor Appointment • Engagement of accounting firms for the 2026 financial year is up for shareholder approval.

5. Strategic Transaction (Special Resolution) • The meeting will vote on the absorption and merger of Jiuyin County Banks in Jiangxi Province, furthering the Bank’s regional consolidation strategy.

Key Timetable • Share transfer for AGM eligibility closes from 9 June 2026 to 12 June 2026. • Share transfer for dividend entitlement closes from 18 June 2026 to 24 June 2026.

All AGM resolutions will be decided by poll, with results disclosed on both the Hong Kong Stock Exchange and the Bank’s website.
