Hao Tian International Construction Investment Group Limited will hold its Annual General Meeting on 28 October 2026 at 10:30 a.m. at 25/F, Shui On Centre, 6–8 Harbour Road, Wanchai, Hong Kong. Key agenda items are as follows:

1. FY2026 Reporting • Shareholders will receive and consider the audited consolidated financial statements and the directors’ and independent auditors’ reports for the year ended 31 March 2026.

2. Board Composition • Re-election of Mr. Tang Yiu Chi James as Executive Director, Mr. Xu Lin as Non-executive Director, and Mr. Shek Lai Him Abraham as Independent Non-executive Director. • Authorisation for the board to determine directors’ remuneration.

3. Auditor Re-appointment • Moore CPA Limited is nominated for re-appointment as independent auditors, with the board authorised to fix their remuneration.

4. General Mandates • Share Issue Mandate: Directors may allot and issue up to 20% of the company’s issued share capital, excluding treasury shares, during the mandate period. • Share Buy-back Mandate: The company may purchase up to 10% of its issued share capital, excluding treasury shares, on The Stock Exchange of Hong Kong Limited. • Mandate Extension: Shares repurchased under the buy-back mandate may be added to the issuance limit, effectively extending the issue mandate by a further 10%.

5. Shareholder Logistics • Register of members will be closed from 23 October 2026 to 28 October 2026 (both dates inclusive). Shareholders recorded on 28 October 2026 are entitled to attend and vote. • Proxy forms must be lodged with Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting.

As of the notice date, the board comprises three Executive Directors (Fok Chi Tak, Tang Yiu Chi James, Dr. Zhiliang Ou, J.P. [Australia]), two Non-executive Directors (Xu Lin, Jiang Yang), and three Independent Non-executive Directors (Mak Yiu Tong, Shek Lai Him Abraham, Chan Ming Sun Jonathan).
