Agile Group Reports RMB 6.15 Billion Interim Loss as Revenue Falls and Debt Restructuring Intensifies

Agile Group Holdings Limited (Agile Group) released its interim results for the six months ended 30 June 2026, highlighting a challenging period marked by falling sales, deepening losses and mounting liquidity pressure.

Revenue and Profitability Agile Group’s consolidated revenue slid 20.00% year-on-year to RMB 10.86 billion. Property-development turnover contracted 37.70% to RMB 3.80 billion, while property-management income fell 5.70% to RMB 6.04 billion. The Group recorded a gross loss of RMB 2.05 billion, widening from RMB 0.92 billion a year earlier, and posted a loss for the period of RMB 6.15 billion. Loss attributable to shareholders increased 10.00% to RMB 8.83 billion, translating into a basic loss per share of RMB 1.75.

Balance-Sheet Stress Total assets decreased 4.60% to RMB 163.50 billion. Cash and cash equivalents edged down 4.50% to RMB 3.29 billion, while restricted cash fell 42.70% to RMB 1.22 billion. Short-term borrowings rose 8.40% to RMB 41.97 billion; long-term borrowings declined 62.70% to RMB 3.01 billion. Net gearing surged to 364.90%, up 135.30 percentage points from end-2025. Shareholders’ equity remained negative at RMB -21.45 billion.

Liquidity and Defaults Agile Group confirmed it failed to meet scheduled payments on bank loans, other borrowings and senior notes, triggering cross-default provisions. Offshore creditors have filed a winding-up petition, now adjourned to 12 October 2026. The company is negotiating a holistic offshore debt-restructuring plan, supported by a cash-flow forecasting model and ongoing discussions with major creditors.

Operating Metrics Contracted sales (including joint ventures, associates and managed projects) fell 26.50% to RMB 3.80 billion, with pre-sold gross floor area down 26.10% to 0.41 million sq.m. Average selling price registered at RMB 9,323 per sq.m. Total land bank stood at 25.03 million sq.m. across 68 cities, with an average land cost of RMB 2,445 per sq.m.

Cost Control and Impairments Cost of sales declined 10.90% to RMB 12.91 billion, trailing the revenue contraction. Selling expenses jumped 58.90% to RMB 324 million due to higher commission ratios, while administrative expenses fell 23.90% to RMB 536 million following tighter cost controls. The Group booked RMB 1.85 billion of write-downs on properties under development and completed stock, and recorded an RMB 0.87 billion impairment on property, plant and equipment.

Capital Commitments and Guarantees Outstanding construction and land-premium commitments total RMB 10.14 billion. Mortgage guarantees provided to homebuyers amount to RMB 23.01 billion; guarantees for joint-venture, associate and third-party borrowings total RMB 19.31 billion.

Strategic Outlook Management plans to prioritise project delivery, accelerate presales in core Pearl and Yangtze River Delta clusters, and pursue an agreement with offshore creditors in the second half of 2026 to stabilise the balance sheet. At period-end, Agile Group’s land reserves were concentrated 30% in the Pearl River Delta and 4% in the Yangtze River Delta.

Dividends No interim dividend was declared for the period.

Governance Updates Directorate changes during the period included the resignation of Non-executive Director Mr Chan Cheuk Hung (1 April 2026) and the appointment of Independent Non-executive Director Mr Lo Ka Ki (19 August 2026) following the passing of Mr Kwong Che Keung, Gordon on 6 July 2026.

Agile Group’s audit committee has reviewed the unaudited interim financial statements; the figures have not been audited by the external auditor.
