Bank of Jiujiang (06190) announced that the seventh Board will reach the end of its term and a complete re-election will be submitted to the 2025 annual general meeting (AGM).
Key nominations for the eighth three-year Board term are: • Executive Directors – Zhou Shixin (current Chairman) and Xiao Jing (current President). • Non-executive Directors – Luo Feng, Shi Zhishan, Chen Wenjun and Xu Zhixin. The latter two must obtain qualification approval from the National Financial Regulatory Administration (NFRA) before taking office. • Independent Non-executive Directors – Wang Wanqiu, Zhang Yonghong, Tian Li and Guo Jiequn.
The Bank is concurrently organising the election of employee Directors; successful candidates will join the above nominees to constitute the full eighth Board.
Remuneration framework: • Executive Directors receive no board fees; compensation is tied to management roles and includes salary, bonus, social insurance, benefits and housing fund contributions. • Non-executive Directors receive no remuneration or allowances. • Independent Non-executive Directors receive annual allowances of 0.15 million yuan each. Committee chairpersons and members receive additional allowances of 0.03 million yuan and 0.01 million yuan respectively. Performance-based compensation for extra activities is capped at 0.05 million yuan per person per year.
Independence confirmation: all four independent non-executive director candidates meet the criteria under Rule 3.13 of the Hong Kong Listing Rules and have no financial or connected relationships with the Bank or its subsidiaries. The Nomination and Remuneration Committee has affirmed their independence.
Board changes: upon approval of the new slate, Yuan Delei, Zhou Miao and Liu Yinan will retire. Their departures involve no disputes with the Board and require no further disclosure.
