Fold Holdings Inc Seeks Reverse Stock Split Amid Compliance Concerns While Bitcoin Reserve Depletion Raises Liquidity Questions

Fold Holdings Inc (FLD.US), a bitcoin-focused financial services company, is pursuing a 1-for-50 reverse stock split authorization to address a Nasdaq compliance issue regarding its share price, aiming to artificially boost its nominal stock value without liquidating core assets. This capital maneuver is designed to resolve its precarious listing status, but the company's shrinking bitcoin reserves have sparked deeper concerns about its ability to fund ongoing operations.

The company's balance sheet reveals a complex hedging structure. As of the reporting period, its rewards account held 77 bitcoins, valued at $4.5 million, which exactly equals its customer reward liability. These two positions are economically non-fungible. Including other reserves, the total involves 271 bitcoins. However, this static balance does not mask the dynamic cash drain. For the first six months of 2026, Fold Holdings Inc recorded an operating loss of $15.6 million. To bridge this funding gap, the company sold approximately 5.82 million shares through an equity offering, raising just $7.5 million in cash. This reliance on equity dilution rather than core business profitability means that further tapping into its investment treasury represents a potential financing risk, not a guaranteed option.

Cash flow pressures forced the company to aggressively sell off core assets during the first half of the year. In February, it sold 200 bitcoins, netting $14.4 million. In June, it accelerated the process, selling 632 bitcoins for $44.7 million. Of the June proceeds, $20 million was specifically used to repay a bitcoin-backed credit line, with the remaining $24.7 million retained as cash. Notably, the 500 bitcoins returned to an investor earlier were a debt settlement, not a sale, and are not included in the 832-bitcoin disposal total. As of June 30, Fold Holdings Inc held $28.4 million in cash and cash equivalents, but whether this amount can sustain future operations remains uncertain.

The hard Nasdaq compliance requirement is that the stock price must remain at $1 or above for 10 consecutive trading days. If other exchange conditions are met, the company could secure a 180-day grace period. Currently, it is seeking shareholder approval for a reverse split ranging from 1-to-2 to 1-to-50, with the exact ratio yet to be determined. Even if the split temporarily avoids delisting, the core issue persists: with only 194 bitcoins remaining in its investment treasury as of June 30, how will Fold Holdings Inc fund its ongoing operations without further depleting this key asset? This remains the critical unresolved variable.
