WINTO GROUP (HKEX: 08238) has announced the signing of a subscription agreement with subscriber Mr. Ma Haiyang on June 8, 2026, for the issuance of convertible bonds with a total principal amount of HK$3.5 million.

Upon full conversion of the bonds at the initial conversion price of HK$0.20 per share, subject to adjustment, a total of 17.418 million new shares will be issued.

This issuance represents approximately 5.0% of the company's existing issued share capital and about 4.76% of the enlarged share capital following the issuance of the conversion shares.

The gross proceeds from the subscription are expected to be HK$3.5 million, with net proceeds estimated at approximately HK$3.2 million.

The company intends to allocate the net proceeds from the convertible bond issuance for general working capital purposes.
