Denox Environmental & Technology Holdings Limited has dispatched its shareholder circular dated 31 July 2026, outlining the proposed connected Share Subscription under a specific mandate and the associated Whitewash Waiver application.

The circular provides: 1) full terms of the Share Subscription Agreement and the specific mandate required for issuing new shares; 2) analyses and recommendations from the Independent Board Committees and the Independent Financial Adviser regarding both the Share Subscription and the Whitewash Waiver; and 3) the notice of the Extraordinary General Meeting (EGM) and a proxy form.

The EGM will be convened at 10:30 a.m. on Friday, 21 August 2026, at Room 1506-1, 12th Floor, Block 2, No. 128 Western South Fourth Ring Road, Fengtai District, Beijing 100070, PRC. Independent shareholders will vote separately on: • the Whitewash Waiver, which requires at least 75% approval of votes cast; and • the Share Subscription and specific mandate, which require more than 50% approval of votes cast.

Completion of the Share Subscription is contingent upon fulfilment of all conditions precedent, including the granting of the Whitewash Waiver by the Executive and its approval by independent shareholders. The company cautions that the transaction may not proceed if these conditions are not satisfied.
