Chengdu Expway Announces Board Reshuffle: Xia Wei Resigns, Pan Xin Becomes Executive Director and Authorised Representative

Chengdu Expressway Co., Ltd. (abbreviated as Chengdu Expway) reported two key governance changes effective 29 April 2026.

Xia Wei stepped down as Executive Director and ceased to act as the company’s authorised representative under HKEX Listing Rule 3.05. His departure, attributed to work changes, also ends his role in the Board’s environmental, social and governance working group. Xia confirmed no disagreements with the Board and no issues requiring shareholder or creditor attention. The Board expressed appreciation for his contributions.

Pan Xin, previously a Non-executive Director, has been redesignated as an Executive Director while retaining his position as an employee-representative Director. He simultaneously assumes the role of authorised representative. Given a 2019 shareholder resolution, Pan will not receive director’s fees during the current (second) Board term. According to the announcement, Pan holds no share interest in Chengdu Expway, no other listed directorships in the past three years, and has no relationships with major shareholders or senior management beyond his existing roles.

With these changes, Chengdu Expway’s Board now comprises: • Executive Directors: Yang Tan (Chairman), Ding Dapan, Pan Xin • Non-executive Directors: Wu Haiyan, Jiang Xinliang • Independent Non-executive Directors: Leung Chi Hang Benson, Qian Yongjiu, Wang Peng

The company states no other matters require shareholder attention regarding these appointments.
