Toku Ltd. details deployment of IPO funds, clears venture debt

Toku Ltd. has provided an update on the use of the roughly 16.25 million Singapore dollars raised from its Catalist initial public offering on Jan, 22 2026. As at May, 31 2026, the communications-technology group has deployed about 9.17 million Singapore dollars of the proceeds.

Of the disbursed sum, 1.03 million Singapore dollars went to expand its artificial-intelligence-driven customer-experience platform, while the entire 1.996 million Singapore dollars earmarked as a cash reserve was used to repay the outstanding principal on a 2.00 million US-dollar venture debt facility from IRIS Fund LP. A prepayment fee of roughly 0.04 million US dollars was settled from internal cash.

The company has also utilised 2.96 million Singapore dollars to settle shareholders’ loans and 2.21 million Singapore dollars for listing expenses, both now fully paid. Spending of 0.97 million Singapore dollars has been made on strategic acquisitions, partnerships and general corporate purposes.

Unspent proceeds amount to about 7.08 million Singapore dollars, including 3.58 million Singapore dollars reserved for future acquisitions and partnerships, 2.83 million Singapore dollars for further platform expansion and 0.67 million Singapore dollars reallocated to general working capital after lower-than-expected loan and listing-expense settlements.

Toku’s board and audit committee said the early repayment of the IRIS facility removed restrictive covenants, reduced financing costs and aligns with the company’s capital-management strategy. They estimate net interest savings of roughly 0.36 million US dollars over the remaining term of the loan.

Except for the disclosed reallocations, the company affirmed that the IPO proceeds have been applied in line with the intentions set out in its offer document dated Jan, 14 2026. Toku acknowledged the timing lag in announcing the debt repayment and pledged more timely updates in future.
