SCHOLAR EDU (01769) announced that as of the announcement date, a total of 33.342 million stock options (old options) have been granted to grantees, all of which remain unexercised, including 8.3355 million vested old options and 25.0065 million unvested old options. As of the announcement date, none of the old options have been exercised or cancelled.

After considering market conditions since the grant of the old options, and in order to further incentivize and retain grantees to continue contributing to the company's development, on September 11, 2025, the company's board of directors resolved to cancel 25.0065 million unvested old options held by grantees under the terms and conditions of the share scheme, and to re-grant 22.228 million new stock options (new options) to replace the aforementioned cancelled old options, subject to individual consent and acceptance by the respective grantees.
