EG Leasing Signs Non-Binding MOU to Acquire 100% of China Fusion Times Technology via Share Issuance

EG Leasing (China Ever Grand Financial Leasing Group Co., Ltd.) announced that, after market close on 30 April 2026, it entered into a non-legally binding memorandum of understanding with an independent third-party vendor for the potential acquisition of 100% equity in China Fusion Times Technology Limited (the “Target Company”).

Key Terms and Structure • Acquisition price: To be settled through newly issued consideration shares, capped at 25% of EG Leasing’s enlarged issued share capital. • Mandate mechanics: If the share issuance exceeds the existing 20% General Mandate, shareholder approval for a Specific Mandate will be required. • Profit guarantee: The vendor intends to grant an irrevocable profit guarantee covering the Target Group’s subsequent financial year(s). • Exclusivity: The vendor has agreed not to solicit or negotiate alternative transactions until 31 October 2026, or a later mutually agreed date. • Due diligence: EG Leasing and its advisers will conduct a comprehensive review of the Target Group’s assets, liabilities, operations, and affairs.

Target Group Profile and Restructuring China Fusion Times Technology and its PRC subsidiaries specialise in advanced thermal management materials, equipment, and related technology. The group is currently undergoing a restructuring to ensure the Hong Kong parent will hold majority stakes in its mainland entities free of encumbrances.

Next Steps and Timeline The parties aim to finalise a definitive sale and purchase agreement on or before 31 October 2026, subject to satisfactory due diligence. Except for the exclusivity and confidentiality provisions, the MOU is non-binding, and the acquisition may or may not proceed.

Regulatory Implications Should the transaction materialise, it may constitute a notifiable transaction under the Hong Kong Listing Rules. EG Leasing will release further announcements in accordance with regulatory requirements.
